Terms of Service

These terms are an agreement between you and Cosmaneura Inc ("Cosmaneura," "we," "us"), a Delaware corporation headquartered in New Hampshire, USA. By using cosmaneura.com or subscribing to Cosmas, our application, you agree to them. If you are accepting on behalf of a practice or organization, you represent that you have authority to bind it.
1. The service
Cosmaneura provides AI-assisted clinical productivity tools for healthcare providers — including appointment summarization, diagnosis and billing-code suggestions, and medical transcription — delivered through Cosmas, our application. This website provides information about the service; accounts and billing are handled in the application.
Not medical advice. Cosmas supports documentation and administration. It does not provide medical advice, diagnosis, or treatment, and it is not a substitute for professional judgment. Licensed clinicians retain sole responsibility for all clinical decisions and must review all AI-generated output — summaries, suggested codes, and transcripts — before relying on it. The service is not designed for emergencies; in an emergency, call 911.
2. Eligibility and accounts
The service is for professional, business use by people 18 or older. You agree to provide accurate information, keep your credentials secure, and be responsible for activity under your account.
3. Subscriptions, billing, and cancellation
- Subscriptions are billed monthly in advance at the price shown at checkout, processed by Stripe.
- Your subscription renews automatically each month until you cancel.
- You may cancel at any time; cancellation takes effect at the end of the current billing period. We do not provide refunds or credits for partial months except where the law requires.
- We may change pricing with at least 30 days' notice; changes apply from your next billing period after the notice.
4. HIPAA and patient information
Providers who will submit protected health information (PHI) to the application must have an executed Business Associate Agreement (BAA) with Cosmaneura Inc before doing so — Cosmas presents the BAA (CN-BAA-CUST-CW) for electronic acceptance during onboarding. Do not submit PHI through this website or any channel other than the application under an applicable agreement.
5. Acceptable use
- No unlawful use, and no use that infringes the rights of others.
- No attempts to probe, disrupt, or overload the service, or to access it without authorization.
- No reverse engineering, scraping, or reselling of the service except as the law permits notwithstanding this limit.
- No submitting content you lack the right to share.
6. Your data and our platform
As between you and Cosmaneura, you own the data you submit to the service. You grant us the rights needed to process it to provide the service, consistent with our Privacy Policy and, where applicable, a BAA. Cosmaneura owns the platform, software, and branding. If you send us feedback, we may use it without obligation to you.
7. Disclaimers
The service is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that AI-generated output will be accurate or complete.
8. Limitation of liability
To the fullest extent permitted by law: (a) neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues; and (b) Cosmaneura's total liability arising out of the service is limited to the amounts you paid us in the 12 months before the event giving rise to the claim. Nothing in these terms limits liability that cannot be limited by law.
9. Termination
You may stop using the service at any time. We may suspend or terminate access for material breach of these terms, non-payment, or where required by law. Sections that by their nature should survive (including 6–10) survive termination.
10. Governing law and disputes
These terms are governed by the laws of the State of New Hampshire, USA, without regard to conflict-of-law rules. The state and federal courts located in New Hampshire have exclusive jurisdiction, and each party consents to venue there.
11. Changes to these terms
We may update these terms; the current version will always be posted here with its "Last updated" date. For material changes we will give subscribers reasonable advance notice. Continued use after changes take effect constitutes acceptance.
